ICANN org Attendees: Franco Carrasco (Board Operations Manager), John Jeffrey (General Counsel and Secretary), Elizabeth Le (Deputy General Counsel), Amy Stathos (Deputy General Counsel), and Theresa Swinehart (SVP, Global Domains & Strategy).

The following is a summary of discussions, actions taken and actions identified:

1. Agenda review – The Chair reviewed the agenda for the meeting. A request was made to add an update regarding the community ethics policy, time permitting.
2. Continued Discussion re Board Committees and Other Board Groups Slating Discussion - The Committee continued its slating discussion of Board committees and other Board groups, noting the updates received from various Board members on their preferences. The Committee agreed to continue to discuss at its future meeting. The Committee also asked ICANN to draft a note to the full Board seeking additional members to serve on the Audit and Organizational Effectiveness Committees for 2024-2025 year.
   • Action: ICANN org to draft a note to the full Board seeking additional members to serve on the Audit and Organizational Effectiveness Committees for 2024-2025 year.
3. AOB – The Committee received an update on the draft community ethics policy, which is anticipated to be published for public comment around ICANN81.
